1. Acceptance of Terms

By accessing or using Sayele's services, website, ERP platform, or client portal, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services. These terms constitute a legally binding agreement between you and Sayele.

2. Services

Sayele provides the following services, subject to these terms:

  • Custom software development and digital transformation consulting
  • Fintech solutions and banking system development
  • Enterprise Resource Planning (ERP) platform access and management
  • Client portal for project tracking, invoicing, and support
  • AI-powered tools including meeting transcription, document generation, and business analytics

3. User Obligations

When using our services, you agree to:

  • Provide accurate and complete information when creating accounts or submitting data
  • Maintain the confidentiality of your login credentials and not share access with unauthorized persons
  • Use our services only for lawful purposes and in compliance with applicable laws in Guinea, Côte d'Ivoire, and your jurisdiction
  • Not attempt to reverse engineer, modify, or interfere with the operation of our platforms

4. Intellectual Property

All content, software, designs, logos, and technology provided by Sayele remain our exclusive property or the property of our licensors. Custom software developed for clients is subject to the intellectual property terms defined in individual project contracts. You may not reproduce, distribute, or create derivative works from our proprietary materials without written consent.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information, business data, and trade secrets shared during the course of service delivery. This obligation survives the termination of any agreement and applies to all data processed through our ERP and client portal platforms.

6. Payment Terms

For paid services:

  • Invoices are due within the timeframe specified on each invoice. Late payments may incur interest charges as specified in the applicable contract
  • All prices are quoted in the currency specified (XOF or GNF) and are exclusive of applicable taxes unless stated otherwise
  • Sayele reserves the right to suspend services for accounts with outstanding payments exceeding 30 days

7. Limitation of Liability

Sayele shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim in the twelve months preceding the event.

8. Termination

Either party may terminate the use of services with written notice as specified in individual contracts. Upon termination, we will provide you with an export of your data within 30 days. Sayele reserves the right to immediately suspend or terminate access for violation of these terms.

9. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Guinea. Any disputes arising from these terms shall be resolved through good-faith negotiation first, and if unresolved, through the competent courts of Conakry, Guinea.

10. Changes to Terms

Sayele reserves the right to modify these Terms and Conditions at any time. We will notify users of significant changes via email or through our platforms. Continued use of our services after changes constitutes acceptance of the updated terms.
